1. Definitions
- FlowVolt, we, us, our: the Netherlands-based legal entity operating Eli.
- Customer, you, your: the business entity that signs up for Eli or that books a call through this site.
- Service: the Eli AI team product, including the team of AI agents deployed into the Customer's connected workspace, the dashboard, the approval queue, the nightly learning loop, the voice tuning, and any related interfaces or APIs.
- Order Form: any written or electronic confirmation that records commercial terms such as scope, pricing, and duration. The standard offer is documented on this website. An Order Form may amend it.
- Connected Tools: the third-party services (such as Google Workspace, Microsoft 365, Slack, and code repositories) that the Customer authorises Eli to read from and draft into.
- Approved Action: any externally visible action (a sent email, a published post, a committed code change) that the Customer has approved through the approval queue.
2. The Service
2.1 What Eli does
Eli is a team of AI agents deployed into the Customer's own workspace to handle sales follow-up, content, research, code, and related operations. The team reads from the Connected Tools, drafts work in the Customer's voice, and proposes actions in an approval queue. Nothing leaves the Customer's environment without an Approved Action.
2.2 Done-for-you setup
FlowVolt handles deployment. The Customer is expected to attend a 30-minute onboarding call, authorise the Connected Tools, and provide reasonable voice references. We aim to have the team live within 24 hours of the onboarding call.
2.3 Free trial
New customers receive a free trial. If the team has not delivered an initial memo and drafts during the trial window, the Customer pays nothing. The trial converts to a paid subscription only after the Customer confirms.
2.4 Customer obligations
The Customer is responsible for:
- Providing accurate company information, voice references, and configuration data.
- Maintaining the Connected Tool authorisations and revoking them when access should end.
- Reviewing the approval queue and only approving actions that are lawful, accurate, and consistent with the Customer's commitments to third parties.
- Complying with all applicable laws when using the Service, including data protection, anti-spam, marketing, employment, intellectual property, and consumer protection laws.
- Keeping account credentials secure and notifying us promptly of any suspected unauthorised access.
2.5 Beta features
Features that are labelled "beta", "preview", or similar are provided as-is, may change without notice, and may be discontinued. Pricing for general-availability versions may differ and will be set out in the public offer or an Order Form.
3. Acceptable use
The Customer agrees not to, and not to permit anyone to:
- Use the Service to send unsolicited bulk messages, to harass, defraud, or impersonate any person, or to publish content that is unlawful, defamatory, discriminatory, or that infringes third-party rights.
- Disable, bypass, or attempt to circumvent the approval queue, the rate limits, the security controls, or the tenant isolation that separates customers from each other.
- Reverse-engineer, decompile, scrape, or use the Service to build a competing product, or to train a machine learning model on the outputs of the Service for that purpose.
- Connect tools or upload data that the Customer does not have the right to share with us, or that contains special categories of personal data (Art. 9 GDPR) unless we have specifically agreed in writing.
- Use the Service in a way that disrupts our infrastructure, the Connected Tools, or any third party.
FlowVolt may suspend the Service, in whole or in part, on notice to the Customer where suspension is necessary to prevent material harm. We will restore the Service once the cause is resolved.
4. Pricing and payment
4.1 Standard price
The standard price is €1,499 per month for the full team, billed monthly in advance, with no setup fee. The price is exclusive of VAT and any other applicable taxes, which are added at the rate required by law.
4.2 Bundles
When the Customer also subscribes to FlowVolt's outbound product, the combined price is €2,499 per month, as set out on the Eli website. Bundle terms are documented in an Order Form.
4.3 Day-30 guarantee
If, within the first 30 days of the paid subscription, the Customer notifies us that the team has not saved the Customer more hours than it cost, we will refund the fees paid for that period in full. The Customer keeps every asset the team produced during the trial and the guarantee period.
4.4 Invoicing and payment
Invoices are issued at the start of each billing month and are due within 14 days of issue. Payment is by bank transfer or card. Late payments accrue statutory commercial interest under Dutch law (currently set under Article 6:119a of the Dutch Civil Code) and reasonable collection costs.
4.5 Price changes
We may change the standard price with at least 30 days' written notice. If the Customer does not accept the new price, the Customer may cancel before it takes effect. Bundle and Order Form prices are fixed for the duration recorded there.
5. Term, cancellation, and what happens at the end
5.1 Term
The subscription is month-to-month unless an Order Form records a longer term.
5.2 Cancellation by the Customer
The Customer may cancel at any time, with no notice period, no clawback, and no termination fee. The Service continues until the end of the paid month. Outstanding invoices remain due.
5.3 Termination for cause
Either party may terminate immediately for material breach that is not cured within 14 days of written notice, or where cure is not possible. FlowVolt may also terminate immediately for non-payment more than 30 days overdue or for breach of section 3 (Acceptable use).
5.4 What happens at the end
- The team stops drafting and acting within 24 hours of termination.
- The Customer keeps every asset the team produced, including memos, drafts, content, code, and reports.
- Customer Personal Data is returned or deleted as described in the Data Processing Agreement, within 30 days of termination.
- Final invoices are issued within 14 days of termination.
6. Intellectual property
6.1 FlowVolt's IP
FlowVolt retains all rights in the Service, including the agents, the orchestration, the prompts, the dashboard, the approval queue, the learning loop, the infrastructure, and any improvements to them. Nothing in these terms transfers ownership of the Service to the Customer.
6.2 Customer's IP
The Customer retains all rights in the Customer's data, voice references, brand assets, code, and the work product the team produces on the Customer's behalf. The Customer grants FlowVolt a limited, worldwide, royalty-free licence to host, process, and display that data and work product strictly as needed to deliver the Service.
6.3 Tenant isolation
The Customer's data, voice profile, and learning history are isolated to the Customer's tenant. They are never shared with other customers and are never used to train models for anyone else.
6.4 Aggregate and anonymised data
FlowVolt may generate de-identified, aggregated statistics from Service usage (for example, average approval rates across the customer base) and use them for research, benchmarking, and product improvement, provided that no individual or Customer can be re-identified.
6.5 Feedback
If the Customer voluntarily shares feedback, suggestions, or ideas about the Service, FlowVolt may use them without obligation or compensation.
7. Confidentiality
Each party will keep the other party's confidential information confidential, use it only as needed to perform under these terms, and protect it with at least the same care it uses for its own confidential information. This does not apply to information that is public through no fault of the receiving party, was already known without obligation of confidence, was independently developed, or is required to be disclosed by law (with prompt notice to the disclosing party where lawfully permitted).
8. Data protection
The processing of personal data is governed by a separate Data Processing Agreement (DPA) that forms part of these terms. The Customer acts as data controller and FlowVolt acts as data processor in respect of the personal data that the team processes on the Customer's behalf. The DPA is available at /dpa.
9. Warranties and disclaimers
9.1 Mutual warranties
Each party warrants that it has the legal authority to enter into these terms and that doing so does not violate any other agreement or applicable law.
9.2 Service warranty
FlowVolt will provide the Service with reasonable care and skill. Beyond that, the Service is provided "as is". We do not warrant that the Service will be uninterrupted, error-free, that AI outputs will be accurate or fit for a particular purpose, or that any specific commercial outcome will be achieved. The Customer is responsible for reviewing every drafted action before approving it.
9.3 Customer warranty
The Customer warrants that it has the rights to share with us the data, voice references, and Connected Tool content that the team will process, and that the Customer's use of the Service complies with all applicable laws.
10. Limitation of liability
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, goodwill, business opportunity, or data, even if advised of the possibility. FlowVolt's aggregate liability arising out of or related to these terms is capped at the greater of (a) the fees paid by the Customer in the twelve months preceding the event giving rise to the claim, or (b) €5,000.
These limits do not apply to liability that cannot be excluded or limited under Dutch law, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct.
11. Indemnification
The Customer will defend, indemnify, and hold harmless FlowVolt against third-party claims and losses arising out of (i) Customer content or data, including drafts the Customer approved, infringing the rights of, or causing harm to, a third party; (ii) the Customer's breach of section 3 (Acceptable use) or section 9.3 (Customer warranty); or (iii) the Customer's unauthorised or unlawful use of the Service.
FlowVolt will defend the Customer against third-party claims that the Service, as provided by FlowVolt and used in accordance with these terms, infringes a third party's intellectual property rights in the EU, and will pay damages finally awarded or amounts agreed in settlement. This does not apply to claims arising from Customer data, Customer modifications, or use in combination with non-FlowVolt products where the claim would not have arisen but for that combination.
12. Force majeure
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, infrastructure or telecommunications outages, large-scale third-party provider outages, and pandemics.
13. Changes to these terms
We may update these terms from time to time. Material changes will be communicated at least 30 days in advance, by email to the Customer's billing contact and by notice on this site. Continued use of the Service after the changes take effect constitutes acceptance. If the Customer does not accept a change, the Customer may cancel under section 5.2 before it takes effect.
14. General
- Governing law: Dutch law, excluding conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
- Jurisdiction: the competent courts of Utrecht, the Netherlands, unless mandatory law provides otherwise.
- Assignment: neither party may assign these terms without the other's written consent, except that FlowVolt may assign to an affiliate or to a successor in a merger, acquisition, or sale of substantially all of its assets.
- Severability: if any provision is held unenforceable, the rest of these terms remain in effect.
- Entire agreement: these terms, together with any Order Form and the DPA, constitute the entire agreement between the parties and supersede prior discussions and proposals on the subject matter.
- No waiver: a failure to enforce any right is not a waiver of that right.
- Notices: notices to FlowVolt should be sent to info@flowvolt.nl. Notices to the Customer will be sent to the billing contact on file.
